The date of your investment receipt determines when interest begins to accrue. For example, If we receive your investment on January 15th, interest begins to accrue on February 1st. Your Q1 interest payment will equal two months, February and March.

You are being issued a fixed-rate debenture note similar to a bond. Your earnings are taxed as interest, and you will be issued a 1099-INT in January following the close of each calendar year.

Trophy Point reports quarterly statements of account balances (sent via an automated
email; check your Updates Tab if your email provider has one), and we pay each calendar quarter. For example, Q1 ends on the 31st of March. Interest payments are typically processed/paid within the first 7-14 days of the following month (for example, 7-14 April for Q1 payments).

No, Trophy Point Capital’s fund does not have a formal gate provision that caps the percentage of redemptions payable in a given period. Instead, redemptions are processed on a first-in, first-out basis, subject to applicable lock-up periods and advance notice requirements, and are always subject to Trophy Point Capital’s discretion based on available liquidity.

Trophy Point Capital reserves the right, in its sole discretion, to modify, amend, or withdraw all or any portion of the offering at any time prior to closing. The company may also accept or reject any prospective investment in whole or in part, for any reason or no reason at all, and may allot to any prospective investor less than the amount they requested. Additionally, Trophy Point Capital may void any investment made by an investor who is not qualified to participate in the offering or whose accredited investor status cannot be adequately verified. Trophy Point Capital and its members bear no liability to any offeree or investor arising from any of these actions.

Trophy Point Capital Management holds sole discretion to set and adjust the interest rate payable on the Notes at any time. These decisions may be influenced by the company’s capital requirements, competitive market rates for similar securities, and overall profitability. As a result, the interest rates offered on the Notes may be higher or lower than rates that might otherwise be negotiated at arm’s length.

Trophy Point Capital Management has discretion to accept or reject redemption requests, determine the timing of any redemptions, and decide whether to reinvest interest payments or return them to noteholders. These decisions may be influenced by the company’s liquidity needs, which may not always align with individual noteholders’ interests.

Note: all investments carry a 18-month initial lockup period, and we require a 90-day notice to process redemptions. Redemptions are processed on a first in, first out (FIFO) basis. Your oldest investments will be redeemed first.

Since we are a lending fund that frequently deploys capital in term loans of 6-12 months, we cannot honor requests for early redemption. We are not to be thought of as a CD or Bank-like product. The Notes will rank equally in right of payment with all existing and future
unsubordinated, unsecured indebtedness of TPIG, and will be senior in right of payment to any future indebtedness of TPIG that by its terms is expressly subordinated to the Notes.

The Notes are senior to TPIG’s partners or membership interests. Partner’s pledge to assume “first loss” as defined by any loss of principal from loans or capital placements TPIG originates up to their entire equity balance or membership interest value.

Partners will notify investors via email of any significant drop defined as reduction of 25% or more of their equity interest.

The Notes will be effectively subordinated to any secured indebtedness of TPIG to the extent of the value of the assets securing such indebtedness.

Yes, you can. However, you are responsible for any tax-related implications.

To rename or transfer your account, please do two things:

1. Please email [email protected] with your intentions, including the OLD account holder’s name and the NEW account holder’s name in your email, along with the amount to be transferred. NOTE: transfers will forfeit interest for the month (30 or 31 days) of interest that the transfer occurs.
2. Please complete our Registration Form and re-register your account using
   the new name. Select New Investor, including the new EIN/SSN and the transfer amount.

To invest additional funds, complete our Registration Form. Check Existing Investor and fill in the amount of new investment.

We will respond with an email confirmation of funds received and your Promissory Note.

Yes, we do, every April/May in Atlanta. We usually publish details for the annual meeting in August/September. You are most welcome to attend and bring your spouse, friends, and other interested guests. Samir will present on our performance and answer questions for as long as necessary. Food, valet parking, and an open bar are included.
